Remarks: In connection with the reorganization by Sirius XM Holdings Inc. ("Sirius XM") of its executive management and reporting structures, the Board of Sirius XM determined that the reporting person's policy making functions have changed such that he is no longer considered an "officer" for purposes of Section 16. The reporting person will continue in his role as Executive Vice President and Chief Innovation Officer, but will no longer be required to report transactions in equity securities of the registrant on Form 4 or Form 5.
