Explanation of Responses:
( 1 )Effective October 1, 2003, for stock options granted after January 1, 1999, optionees who retire who are at least 55 years old and who have been employed by the Company for at least 10 years will, subject to the following sentence, have up to 36 months to exercise their vested options, and optionees who retire who are at least 55 years old and who have been employed by the Company for at least 5 years but less than 10 years will, subject to the following sentence, have up to 12 months to exercise their vested options. The options' normal expiration dates will not, in any event, be modified or otherwise changed.
( 2 )Will vest equally over 5 years
