May of a durable Power of Attorney and related account authorizations by a third person not a director, officer or principal shareholder of the Company that were completed on May 15, 2024 with respect to 11,672 shares of Common Stock, including 1,320 shares held by the grantor indirectly as one-third member of a limited liability company (the "LLC"). It shall not be deemed an admission that the reporting person is, for purposes of section 16 of the Act or otherwise, the beneficial owner of the Shares covered by such Power of Attorney, including the 2,640 shares held in the LLC beneficially owned by the other 2 members of the LLC.
