( 1 )Mr. Grover was awarded an option to acquire 10,000 shares of the Registrant's common stock at $4.00 per share on October 23, 2001. Options vested at a rate of 2,500 shares per year so that the option to purchase all 10,000 shares fully vested on October 23, 2005 and have been included in the total number of shares reported to be owned by Mr. Grover since that date.
