Remarks: Mr. Orcel has a pecuniary interest in Class B ordinary shares of the issuer through his membership interest in EM Horizon Investments (the "Sponsor"). He is one of three members of the Sponsor. Any action by the Sponsor with respect to the issuer or the issuer's securities held by the Sponsor, including voting and dispositive decisions, requires the unanimous approval of the members and no individual member exercises voting or dispositive control over any of the securities held by the Sponsor, even those in which such member directly holds a pecuniary interest. Accordingly, none of them will be deemed to have or share beneficial ownership of such shares. Mr. Orcel disclaims beneficial ownership over any securities owned by the Sponsor in which he does not have any pecuniary interest.
