Each RSU represents a contingent right to receive one share of the Issuer's common stock upon settlement. 1/48th of the RSUs will vest monthly from January 1, 2025, subject to the Reporting Person's continuous service through each vesting date.
( 2 )Includes 131,408 RSUs previously granted, each of which represents a contingent right to receive one share of the Issuer's common stock upon vesting.
( 3 )The transaction reported on this Form 4 was effected pursuant to a Rule 10b5-1 trading plan adopted by the Reporting Person on September 6, 2024.
