Explanation of Responses:

( 1 ) Represents trust shares (the "Trust Shares") of beneficial interests in the P&O Princess Special Voting Trust (the "Trust"). In connection with the dual listed company transaction between Carnival plc (formerly known as P&O Princess Cruises plc) and Carnival Corporation (the "DLC transaction"), Carnival plc issued one special voting share to the Trust and, following a series of transactions, the Trust Shares were distributed to holders of common stock of Carnival Corporation (the "Carnival Corporation Common Stock"). Since completion of the DLC transaction on April 17, 2003, if Carnival Corporation issues Carnival Corporation Common Stock to a person, the Trust will issue an equivalent number of Trust Shares to such person. The Trust Shares are paired with shares of Carnival Corporation Common Stock and are represented by the same stock certificate. The Trust Shares represent a beneficial interest in the Carnival plc special voting shar e. ( 2 ) The reporting person, as trustee of the Continued Trust for Shari Arison Dorsman, the Continued Trust for Micky Arison, the Continued Trust for Michael Arison, the Michael Arison 1999 Irrevocable Delaware Trust and The Micky Arison 1997 Holdings Trust and as co-trustee of The Ted Arison 1992 Irrevocable Trust for Lin No. 2 (the "Trust for Lin"), The Ted Arison 1994 Irrevocable Trust for Shari No. 1 and The Ted Arison Charitable Trust (collectively, the "Arison Trusts"), exercises certain voting and dispositive powers with respect to the Trust Shares and interests in the Carnival plc special voting share held by such trusts. This report is being filed to reflect the sale of shares by the Trust for Lin. ( 3 ) The reporting person disclaims beneficial ownership of the securities held by the Arison Trusts and this report shall not be deemed an admission that the reporting person beneficially owns any of the securities held by the Arison Trusts. The reporting person has no pecuniary interest in the securities held by the Arison Trusts and will no longer report ownership of such securities for purposes of Section 16. ( 4 ) The reporting person may be deemed a member of a Section 13(d) group that owns more than 10% of the Trust Shares and an interest in the Carnival plc special voting share. However, the reporting person disclaims such group membership, and this report shall not be deemed an admission that the reporting person is a member of a Section 13(d) group that owns more than 10% of the Trust Shares and an interest in the Carnival plc special voting share for purposes of Section 16 or for any other purpose.
